By accessing or using our services, you agree to be bound by these Terms. If you use our services on behalf of a business or other organisation, you confirm that you have authority to accept these Terms on its behalf. If you do not agree to these Terms, you should not use our services.
About Maxius Analytics and our services
Maxius Analytics Ltd is a private limited company registered in England and Wales under company number 17360478. We develop decision support systems and provide analytics services designed to help growing businesses understand operational performance and make more informed decisions.
Our services may include:

- business and operational analytics;
- analytical reports and performance analysis;
- findings, estimates and suggested actions based on available data; and

Customer data
As between you and Maxius Analytics, you retain ownership of the business data and other information you upload or otherwise provide to us ("Customer Data").
By providing Customer Data, you confirm that:
- you own the data or have the necessary rights and permissions to provide and use it;
- our processing of the data as instructed by you will not knowingly violate applicable law or contractual obligations; and
- you are authorised to provide any personal information contained within the data.
You grant Maxius Analytics a limited right to host, access, process and otherwise use Customer Data only as reasonably necessary to provide, secure and support the services you request, comply with applicable law and enforce our rights under these Terms.
We do not acquire ownership of Customer Data because you use our services. Our handling of personal information and confidential business information is also described in our Privacy Policy.
Acceptable use
You must not use our website, products or services to:
- carry out unlawful, fraudulent or abusive activity;
- upload malware, malicious code or other harmful content;
- attempt to gain unauthorised access to accounts, systems, data or infrastructure;
- interfere with, disrupt or compromise the operation or security of our services;
- circumvent or attempt to circumvent access controls, security controls or payment mechanisms; or
- use the services in a way that infringes the rights of Maxius Analytics or another person.
We may restrict, suspend or terminate access where we reasonably believe these requirements have been breached or where action is necessary to protect our customers, services or systems.
Analytical outputs and business decisions
Our products and services may provide analysis, findings, estimated opportunities, suggested actions, reports and other decision support outputs ("Analytical Outputs"). These outputs are intended to support, not replace, business judgement.
Analytical Outputs may depend on Customer Data, analytical methods, statistical techniques, assumptions and other information available at the time of analysis. Where an output identifies a potential opportunity, expected impact or estimated financial value, that figure is an estimate and does not guarantee that the stated result will be achieved.
You remain responsible for reviewing the information provided, considering the circumstances of your business and deciding whether and how to act on an Analytical Output. Our services do not constitute legal, tax, investment or regulated financial advice.
Accuracy and quality of information
The usefulness and accuracy of our analysis can depend materially on the quality, completeness, timeliness and correct interpretation of the information supplied to us or made available through an integration.
Analytical Outputs may be affected by matters including:
- inaccurate or incomplete information;
- missing, duplicated or outdated records;
- incorrect file structures, mappings or classifications;
- changes to source systems or integrations; and
- unauthorised or unintended alterations to Customer Data.
You are responsible for taking reasonable steps to ensure that information you provide is suitable for the analysis you request and for notifying us if you become aware of a material error.
Payments, subscriptions and cancellation
Prices and applicable charges are presented before purchase or otherwise agreed with you. Payments for relevant online services are processed securely by Stripe. Maxius Analytics does not store full payment card details.
One time services
A one time purchase applies to the service, report or scope identified at the point of purchase or in the applicable proposal. Once a commissioned service has been performed or a purchased report has been delivered, payments are generally non refundable except where required by applicable law or expressly agreed otherwise.
Subscriptions
Where you purchase a recurring subscription, charges will recur at the billing interval shown when you subscribe until the subscription is cancelled. Cancellation stops future renewals but does not, by itself, refund charges already incurred for the current billing period unless applicable law or an agreed service term requires otherwise.
Nothing in these Terms limits any payment, cancellation or refund right that cannot lawfully be excluded.
Intellectual property
Customer Data
Your Customer Data remains your property, subject to the limited processing rights described in these Terms.
Maxius technology and materials
Unless otherwise stated, Maxius Analytics and its licensors retain all rights in our software, analytical methods and models, interfaces, documentation, website content, branding, logos and other technology or materials that we create or provide as part of the services.
Reports and generated outputs
Subject to payment of applicable charges and any separately agreed terms, you may use reports and generated outputs supplied to you for your own internal business purposes. This permission does not transfer ownership of the underlying Maxius Analytics software, methods, models or intellectual property.
You must not, except where permitted by law or expressly agreed by us:
- resell or commercially redistribute our reports or services as your own product;
- copy or reproduce our software beyond what is necessary for permitted use;
- reverse engineer, decompile or attempt to extract source code from our software where such restriction is lawful; or
- remove or obscure copyright, trade mark or other proprietary notices.
Service availability
We aim to provide reliable services, but we do not guarantee that our website, applications, integrations or other services will always be available without interruption or error. Availability may be affected by maintenance, updates, third party services, technical faults, security events or circumstances outside our reasonable control.
We may modify, maintain or update our services where reasonably necessary for security, reliability, functionality or business reasons.
Limitation of liability
To the fullest extent permitted by applicable law, Maxius Analytics will not be liable for indirect or consequential loss, or for loss of profit, revenue, business opportunity or anticipated savings, arising from use of the services or reliance on Analytical Outputs.
We are not responsible for loss or error caused by inaccurate or incomplete Customer Data, actions taken by you or a third party, failures of third party systems or integrations, or circumstances outside our reasonable control, except to the extent that applicable law provides otherwise.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability that cannot legally be excluded or limited under the laws of England and Wales.
Privacy
Our Privacy Policy explains how Maxius Analytics collects, uses, stores and protects personal information and how we handle customer business data in connection with our website, products and services.
Suspension and termination
We may suspend or terminate access to a service where:
- you materially breach these Terms;
- applicable payment obligations remain unpaid;
- we reasonably suspect fraudulent, unlawful or abusive activity;
- continued access creates a material security or operational risk; or
- we are required to do so by law or a competent authority.
You may stop using our services at any time and may cancel a recurring subscription in accordance with the applicable subscription arrangements. Termination does not affect rights or obligations that arose before termination, including outstanding payment obligations and provisions that by their nature are intended to continue after termination.
Changes to these Terms
We may update these Terms from time to time to reflect changes to our services, business practices, legal requirements or other relevant circumstances. The current version will be published on this page with its last updated date.
Where a change is material and it is reasonable to do so, we will make reasonable efforts to provide notice through our website, service or another appropriate communication channel. Your continued use of the services after revised Terms take effect will be subject to the updated Terms.
Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. Subject to any rights or jurisdictional rules that cannot lawfully be excluded, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or connected with these Terms.
